1. Acceptance of Terms

By accessing, registering for, or using any Leomart Solution service ("Services"), you represent and warrant that:

• You are at least 18 years of age or have parental/guardian consent to use our Services.
• You have the legal capacity to enter into a binding agreement under Nigerian law.
• You will comply with these Terms and all applicable local, state, national, and international laws.
• Your use of our Services does not violate any agreement you have with a third party.

Important: If you are using our Services on behalf of a company, organization, or other entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Services

Leomart Solution provides the following services ("Services"):

💻 Website Development

Custom website design, development, hosting consultation, and maintenance services.

📲 WhatsApp Automation (via WapsChat)

Integration of WhatsApp Business API for automated messaging, customer support, and marketing campaigns.

📩 Bulk SMS (via LeoSMS)

Mass SMS broadcasting services for notifications, promotions, and alerts.

💳 Virtual Top-Up (via LeoPay)

Digital airtime and data top-up services for Nigerian networks.

📜 CAC Registration Assistance

Guidance and documentation support for Corporate Affairs Commission business registration.

📣 Digital Marketing

Social media advertising, content strategy, SEO, and performance marketing services.

🏠 Real Estate Services

Property listing, verification, consultation, and transaction support for Nigerian real estate.

Specific service terms, pricing, and deliverables may be outlined in separate Statements of Work (SOW) or service agreements.

3. User Accounts & Registration

To access certain Services, you may be required to register for an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information.
• Maintain the security of your password and accept all risks of unauthorized access.
• Notify us immediately at support@leomart.ng of any unauthorized use of your account.

Leomart Solution reserves the right to suspend or terminate accounts that provide false information or engage in suspicious activity.

4. User Obligations

When using our Services, you agree NOT to:

• Use our Services for any unlawful purpose or in violation of any applicable law.
• Send spam, unsolicited messages, or engage in phishing activities via our messaging platforms.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.
• Attempt to interfere with, disrupt, or overload our systems or networks.
• Reverse engineer, decompile, or attempt to extract source code from our platforms.
• Use our Services to harass, abuse, or harm another person.
• Upload or transmit viruses, malware, or any other malicious code.

Messaging Compliance: For WhatsApp and Bulk SMS services, you are solely responsible for obtaining all necessary consents from message recipients and complying with the Nigerian Communications Commission (NCC) regulations, WhatsApp Business Policy, and carrier guidelines.

5. Intellectual Property

Our Content: All content on our website and platforms, including text, graphics, logos, icons, images, software, and compilations, is the property of Leomart Solution or its content suppliers and is protected by Nigerian and international copyright, trademark, and other intellectual property laws.

Your Content: You retain ownership of any content you submit through our Services. By submitting content, you grant Leomart Solution a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing and improving our Services.

Deliverables: For website development and design projects, upon full payment, you receive a license to use the delivered work product. Leomart Solution retains ownership of underlying frameworks, tools, and pre-existing code libraries.

6. Payment Terms

• Pricing: Service fees are quoted in Nigerian Naira (₦) unless otherwise specified. Prices are subject to change with prior notice.
• Payment Methods: We accept bank transfers, card payments via secure gateways, and other methods as displayed at checkout.
• Invoicing: For project-based services, invoices are issued per the agreed milestone schedule. Payment is due within 7 days of invoice date unless otherwise agreed.
• Late Payments: Late payments may incur a 1.5% monthly interest charge and may result in suspension of Services until payment is received.
• Taxes: You are responsible for all applicable taxes, duties, or levies associated with your use of our Services.

7. Refund Policy

Refund eligibility varies by service type:

• Website Development: Refunds may be considered if project deliverables are not met as per the agreed SOW. Requests must be submitted in writing within 14 days of project completion.
• Digital Credits (SMS/Airtime): Virtual credits (SMS units, airtime) are non-refundable once purchased or credited to your account.
• Subscription Services: Monthly/annual subscriptions may be cancelled anytime, but fees paid for the current billing cycle are non-refundable.
• CAC Registration: Government filing fees are non-refundable. Service fees may be partially refundable if Leomart Solution is unable to proceed due to circumstances beyond our control.

All refund requests must be submitted to support@leomart.ng with supporting documentation. Leomart Solution reserves the right to evaluate each request on a case-by-case basis.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• Leomart Solution shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
• Our total aggregate liability for any claim arising out of or relating to these Terms or our Services shall not exceed the amount you paid to Leomart Solution for the specific service giving rise to the claim in the 12 months preceding the claim.
• We do not guarantee uninterrupted, error-free, or secure operation of our Services. We are not liable for delays, failures, or disruptions caused by factors beyond our reasonable control (force majeure).

9. Indemnification

You agree to defend, indemnify, and hold harmless Leomart Solution, its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of or access to our Services.
• Your violation of these Terms or any applicable law.
• Your submission of content that infringes any third-party rights.
• Your use of messaging services in violation of recipient consent requirements or carrier policies.

10. Termination

By You: You may terminate your account at any time by contacting us. Upon termination, your right to use the Services ceases immediately.

By Us: Leomart Solution may suspend or terminate your access to Services immediately, without prior notice, if you breach these Terms or engage in conduct we deem harmful to our Services, users, or reputation.

Effect of Termination: Upon termination, all licenses granted to you under these Terms immediately cease. Sections on Intellectual Property, Limitation of Liability, Indemnification, Governing Law, and any other provisions that by their nature should survive, shall survive termination.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Lagos State, Nigeria.

12. Dispute Resolution

Before initiating formal legal proceedings, you agree to attempt to resolve any dispute through good-faith negotiation. If negotiation fails, disputes may be submitted to mediation through a mutually agreed mediator in Lagos, Nigeria. If mediation is unsuccessful, parties may pursue remedies in the courts of competent jurisdiction in Lagos State.

13. Changes to Terms

Leomart Solution reserves the right to modify these Terms at any time. We will provide notice of material changes by:

• Posting the revised Terms on our website with an updated "Last updated" date.
• Sending an email notification to registered users (for significant changes).

Your continued use of our Services after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree, you must discontinue use of our Services.
